Alexandra Pearsall is a skilled corporate attorney with extensive experience advising clients across a wide range of industries on complex legal matters, including commercial contracts, corporate governance, strategic transactions, mergers and acquisitions (M&A), and technology agreements. Alexandra partners with companies from startups to multinational corporations, providing strategic legal counsel to navigate high-stakes transactions and operational challenges. Alexandra’s practice spans drafting, reviewing, and negotiating sophisticated commercial agreements, including licensing, supply, and service agreements tailored to clients’ unique business needs.
In the M&A space, Alexandra has successfully guided clients through mergers, acquisitions, divestitures, and joint ventures, ensuring seamless execution and compliance with regulatory requirements. Alexandra is adept at managing the entire transaction lifecycle, from due diligence to post-closing integration.
Corporate governance is a cornerstone of Alexandra’s practice. Alexandra counsels boards of directors, executives, and shareholders on governance best practices, risk management, and corporate compliance matters. With a keen interest in the intersection of technology and law, Alexandra has significant experience drafting and negotiating technology agreements, including software licensing, cloud services, and data processing agreements, helping clients protect intellectual property and support their technology-driven initiatives.
Alexandra has extensive experience counseling healthcare and life sciences companies, including pharmaceutical companies, pharmacies, manufacturers and physicians, helping them navigate transactional and regulatory challenges unique to the industry, such as fraud and abuse laws, anti-kickback and self-referral laws, FDA regulations and use and disclosure of health information. Alexandra has substantial experience with industry regulations as it relates to pharmacy benefit manager relationships with pharmacies, manufacturers, wholesalers and plan sponsors.
Alexandra interned at the Office of the Attorney General – Government and Healthcare Fraud Division, conducting investigations related to the False Claims Act in the pharmaceutical industry. In addition, she was also a compliance fellow at a large pharmaceutical company, where she gained experience in policy and risk management by working within the guidance of a corporate integrity agreement.

Appealed and secured rescission of independent pharmacy network terminations from major pharmacy benefit managers
