Day Pitney Represents Integra Opportunity Fund Manager LLC in Forming Private Real Estate Fund

Day Pitney represented Integra Opportunity Fund Manager LLC in connection with the formation of the Integra Multifamily Opportunity Fund LP, a private real estate fund focused on stabilized, cash-flow-generating multifamily properties throughout the United States, primarily in the Southeast and Texas.

The team advised Integra on the fund's structuring as a Delaware series limited partnership to accommodate changes to Brazilian tax law. Day Pitney also assisted with the formation of a feeder fund, including the preparation of its governing documents, a disclosure supplement and the drafting and negotiation of a sub-advisory agreement and side letter. The Day Pitney team also advised on the preparation of assignment and joinder agreements for each series pursuant to which non-US investors may assign applicable series interests and unfunded commitment obligations to blocker corporations formed for U.S. tax structuring purposes.
